In partnership with Atlantic Cultivation, an applicant under the ACMPR, Auxly is developing a 110,000 square foot indoor cultivation facility in St. John’s, Newfoundland and Labrador. Pursuant to the Agreement, Auxly will have the right to a 50% equity stake in Atlantic and a long term right to purchase up to 30% of dried cannabis and cannabis trim produced at the Facility. Auxly will also provide strategic regulatory, infrastructure, design and cultivation support to assist Atlantic in obtaining its licence under the Cannabis Act and in opening retail locations in the province.

FSD Pharma

FSD Pharma is a large scale indoor cultivation facility being constructed with joint venture partner FSD Pharma. Located one hour east of Toronto in Cobourg, Ontario in the former Kraft plant, the 620,000 square foot facility, upon completion, will be the largest indoor cultivation facility in the world. Auxly will develop certain segments of FSD’s footprint in exchange for 49.9% of all the cannabis supplied by these segments. Auxly is expecting to receive 18,750kg per annum of product upon completion of the first phase of the project.

GreenhouseCo is a joint venture with world renown cultivation expert Peter Quiring via a newly formed subsidiary, GreenhouseCo. Through his company, South Essex Fabricating, the largest manufacturer and builder of greenhouses in Canada, Peter has over 25 years of experience designing, building and operating greenhouses across North America. In addition, Peter is currently operating 130 acres of state-of-the art, computer controlled, greenhouses located in Leamington, Ontario. The first phase of GreenhouseCo will be to develop an initial 1.4 million square feet of greenhouse in Leamington, yielding approximately 155,000kg of product per year. The site sits on 100 acres of land, hosts 27megawatts of dedicated power and is expandable up to 2.8 million square feet.

Led by experienced head grower, Andrew Robinson, Robinson’s products have consistently ranked the highest in terms of cannabinoid content, terpene content and overall quality when independently tested against 5,000 other products supplied by various ACMPR and MMAR growers. Robinson’s is currently in the process of constructing a 27,700 square foot indoor facility, yielding an estimated 1,100kg of cannabis per annum, for the production of high quality craft cannabis.

By 2020, we expect to be one of the leading cannabis companies in the country with a projected production of over 100 million grams of dry cannabis and over 32 million grams of concentrate or cannabis extract. In 2018, Auxly entered into a definitive agreement with Sundial to help fund the Phase 2 expansion of their flagship facility in Olds, Alberta.

Inverell is a federally licensed “Cannabis Operator” based in Montevideo, Uruguay for the large-scale outdoor production of hemp plants for CBD extraction. Led by a seasoned operator, Dr Raul Urbina, founder and CEO of Stevia One, that became one of the lowest cost producers of stevia in the world. Inverell has 16 hectares of plants in the ground with expansion capacity for an additional 574 hectares. Auxly retains a 80% ownership in the business.

ICC International Cannabis Corp.

Auxly is a preferred commercial partner to ICC for its future international and domestic cannabis ventures for a period of 10 years from the effective date of the Agreement.  In particular, during the term, Auxly has a right of first refusal, with certain limited exceptions, in respect of: supplying ICC's extensive world-wide distribution channels in the event that Kaneh Bosm is looking to source cannabis products; any sale or off-take agreement pursuant to which ICC intends to sell or distribute cannabis products to any third party; purchasing any of ICC's assets (including its subsidiaries) in the event that it intends to sell any such assets to a third party; and licensing any intellectual property owned or developed by ICC, or its subsidiaries, in the event that ICC intends to license such intellectual property. ICC was awarded the first cultivation license in Greece in October 2018.

Upon regulatory approval, the facility will serve as a hub for Auxly and its partners to develop and manufacture higher margin, value added products for the medical markets and, pending approval, the adult use market.

KGK Science

These products are intended for distribution into both the Canadian medical and adult use markets.

Province Brands

Province Brands is a highly disruptive, Toronto, Ontario based cannabis-based beverage company. Led by experienced entrepreneur Dooma Wendschuh, Province retains a patent-pending process to create the world’s first beer brewed from cannabis. To date, Spirit Leaf has executed over 100 franchise agreements for proposed retail locations. Auxly owns a 15% equity stake in Inner Spirit in addition to the exclusive right to supply Inner Spirit franchise holders with up to 50% of their annual inventory requirements.
